These Terms of Service govern the use of IQ5's AI-powered eCommerce optimization platform for Amazon sellers. IQ5 B.V. ("we," "our," or "us") provides services exclusively to authorized Amazon sellers in compliance with Amazon's Selling Partner API (SP-API) Acceptable Use Policy (AUP), Data Protection Policy (DPP), and applicable laws. We provides insights only for the seller's own authorized Amazon account. No data from other sellers or Amazon retail is accessed or used.

IQ5 operates in full compliance with Amazon's Selling Partner API requirements:

IQ5 provides the following specific services to Amazon sellers through authorized SP-API integration:

• Storage Optimization: Analysis of storage costs and inventory turnover rates

3.3 Advertising Analytics Services

• Campaign Performance: Comprehensive analysis of advertising campaign effectiveness
• ROI Optimization: Budget allocation recommendations based on performance data
• Keyword Performance: Monitoring and optimization of advertising keywords
• ACOS Management: Advertising Cost of Sale analysis and optimization

3.4 Business Intelligence Services

• Sales Analytics: Detailed performance reporting and revenue analysis
• Growth Insights: Identification of growth opportunities and market trends
• Performance Benchmarking: Comparison against category performance metrics
• Forecasting Models: AI-powered sales and demand forecasting

Access to IQ5 services is strictly limited to:

• Amazon sellers with active Seller Central accounts in good standing
• Users who explicitly grant authorization via Amazon SP-API OAuth process
• Use exclusively for managing the seller's own Amazon business operations
• Activities that comply with Amazon's Business Solutions Agreement and policies

In compliance with Amazon AUP sections 4.4 and 4.5, IQ5 strictly prohibits:

5.1 Data Misuse

• Sharing Amazon data across multiple seller accounts or aggregating data. IQ5 never shares or aggregates Amazon data across multiple seller accounts.
• Using data to provide insights or services to competing sellers
• Selling, renting, or transferring Amazon data to third parties
• Using Personally Identifiable Information (PII) for marketing purposes

5.2 Policy Violations

• Facilitating or promoting violation of Amazon terms of service
• Targeting Amazon customers for product marketing
• Fabricating or modifying product reviews
• Any activity that circumvents Amazon's policies or systems

5.3 Unauthorized Activities

• Accessing data without proper authorization
• Using shared or generic login credentials
• Attempting to bypass security controls or throttling limits
• Reverse engineering or decompiling IQ5 software

In accordance with Amazon AUP section 2, IQ5 maintains:

• Clear disclosure of all data access and usage purposes
• Honest representation of service capabilities and limitations
• Transparent pricing with no hidden fees or charges
• Clear communication of service updates and changes

6.2 AI Model Transparency

• Explicit explanation of AI model calculations and methodologies
• Clear disclosure of model accuracy and limitations
• Regular updates on data freshness and model performance
• Transparent reporting of algorithmic decision-making processes

6.3 Data Accuracy

• Regular validation of data integrity and accuracy
• Clear labeling of estimated versus actual data
• Timely updates to reflect changes in Amazon data
• Accuracy guarantees for critical business metrics

Users of IQ5 services are responsible for:

7.1 Account Security

• Maintaining the security and confidentiality of login credentials
• Implementing appropriate access controls for team members
• Promptly reporting any suspected security incidents
• Regularly reviewing account activity and access logs

7.2 Compliance Obligations

• Complying with all Amazon terms of service and policies
• Ensuring authorized use of IQ5 services for legitimate business purposes
• Maintaining compliance with applicable laws and regulations
• Obtaining necessary permissions for data processing

7.3 Business Decisions

• Making informed business decisions based on IQ5 insights
• Verifying critical business actions before implementation
• Understanding the limitations of AI recommendations
• Maintaining ultimate responsibility for business outcomes

8.1 Service Availability

• IQ5 services are provided "as-is" and "as-available"
• Service availability may be affected by Amazon API limitations
• Scheduled maintenance may result in temporary service interruptions
• IQ5 is not responsible for Amazon system outages or limitations

8.2 AI Model Limitations

• AI recommendations are based on available data and algorithms
• Model accuracy may vary based on data quality and market conditions
• Users should verify critical recommendations before implementation
• IQ5 provides insights but does not guarantee specific business outcomes

8.3 Data Limitations

• Data availability depends on Amazon API access and permissions
• Some data may be delayed or limited by Amazon throttling
• Historical data may be limited based on account age and permissions
• Data accuracy is dependent on Amazon data quality and timeliness

IQ5 actively monitors and enforces compliance with these terms:

9.1 Monitoring Activities

• All platform activities are logged and monitored for compliance
• Automated systems detect suspicious behavior and policy violations
• Regular audits ensure ongoing compliance with Amazon policies
• User behavior is analyzed for patterns indicating misuse

9.2 Enforcement Actions

• Immediate investigation of suspected policy violations
• Temporary suspension of accounts during investigation
• Permanent termination for serious or repeated violations
• Reporting of violations to Amazon authorities when required
